Tim Sullivan, Kyle Fonjemie, and Anthony Zeoli Author Chapters in the 2024 Edition of the “Business Law: Miscellaneous Operating Issues” IICLE Handbook
Hinshaw attorneys Tim Sullivan, Kyle Fonjemie, and Anthony Zeoli contributed chapters in the new 2024 Edition of the Illinois Institute for Continuing Legal Education (IICLE) handbook “Business Law: Miscellaneous Operating Issues, 2024 Edition.” Founded in 1961, the IICLE publishes a comprehensive set of handbooks designed by and for Illinois attorneys.
Sullivan and Kyle co-authored the first chapter of the handbook titled "Federal Regulation of Securities." The chapter reviews the key federal securities laws, highlights their impact on the issuance and trading of securities, and their application to issuers, officers, and directors post-issuance. It also discusses how these laws, which were created before the internet and designed for print, remain as relevant today as ever, emphasizing the broad concepts of securities laws, disclosure of information, and the prohibition of fraud.
Zeoli authored the chapter on “State Regulation of Securities.” The chapter covers the regulation of securities by the State of Illinois under the Illinois Securities Law of 1953, 815 ILCS 5/1, et seq., certain exemptions from registration, and the liabilities and penalties that can result from violations of this law.
