Jose Herrera Paez focuses his practice on corporate structuring, commercial litigation, and risk management. His work also includes real estate transactions involving development, construction, financing, and foreclosures.

He is well-versed in private equity transactions, such as private placement memoranda, limited partnerships, and mergers and acquisitions, as well as venture capital matters, including equity rounds and investment documents.

Jose has in-house experience in real estate and hospitality, focusing on development, construction, and lease agreements. Fluent in Spanish, he studied law in both Spain and Venezuela, is licensed to practice in Venezuela, and continues to practice Venezuelan law alongside his work at the firm.

Jose is a co-leader of Hinshaw's Latin America Team and serves as an adjunct professor at the University of Miami School of Law in the Transactional Skills program.

Representative Matters

Jose has handled high-value transactions and complex legal matters across various industries:

  • Secured a $1.5 million investment from a family office for a client in the education sector to expand its platform facilitating the placement of foreign students in U.S. universities.
  • Represented a hotel holding and management company in restructuring its $5 million+ holding structure as several foreign investors divested from a complex framework involving four separate properties.
  • Advised a U.S. developer in securing a $5 million capital investment from a Peruvian family office for the acquisition and pre-development of a multi-family residential project in Miami, including structuring two limited partnership-style funds.
  • Negotiated a settlement in a dispute between a company and a former member and stakeholder, avoiding costly litigation.
  • Advised on the acquisition of a tax and accounting practice, managing the interests of multiple sellers.
  • Assisted a major Colombian coffee brand in its U.S. expansion, negotiating over 10 lease agreements and handling subsequent lease assignments following a corporate restructuring.
  • Handled a commercial foreclosure involving two properties owned by a single entity operated by a court-appointed receiver, appearing in a separate action to dissolve a court-imposed stay.

Personal

In his free time, Jose enjoys running long-distance races, occasionally accompanied by his dog, Boston, and has completed over 20 marathons, including Boston, New York, Madrid, Berlin, Miami, and Chicago. He can also be found on the golf course or out enjoying a bike ride with his two daughters. Jose is an avid reader of history as well.

Community/Civic Activities

Jose provides pro bono services to Defiende Venezuela Inc., a nonprofit that advocates for the prosecution of human rights violations against Venezuelan citizens in international courts, and to Diaspora Ven Inc., a nonprofit supporting Venezuelans forced to flee Venezuela due to political persecution.
